Terms of Service

By placing an order with DEAZA Enterprises Pty Ltd (ABN 48 685 850 515) trading as Pet Supplies Logistics, you signify your acceptance of these terms and conditions.
DEAZA Enterprises Pty Ltd is a wholesale business only and does not sell directly to consumers. These terms are current at the time of issue; however, they may vary from time to time at our discretion.
1. Interpretation
In these conditions, the following definitions apply:
- "DEAZA Enterprises Pty Ltd" refers to DEAZA Enterprises Pty Ltd (ABN 48 685 850 515).
- "Customer" means the person or entity to whom Goods are supplied.
- "Goods" means the products sold to the Customer.
- "Purchase Price" means the GST-exclusive list price at the date of delivery, or as otherwise agreed.
- "Additional Charges" include delivery, handling, storage, GST, stamp duty, interest, and legal costs of recovery.
- "Fixtures" means any display units supplied for the exclusive display of Goods.
- "Order Minimum" refers to the minimum dollar value of an order excluding GST.
2. Accounts
- Applications: Account applications must be submitted in writing on the official DEAZA Enterprises Pty Ltd form.
- Credit Limits: We reserve the right to determine, alter, or withhold credit limits at any time. Supply may be paused if limits are exceeded.
3. Orders for Goods
- Binding Agreement: An order is only binding once accepted in writing by us or upon delivery of the Goods.
- Supremacy of Terms: These conditions override any conditions contained in a Customer’s purchase order.
- Cancellations: Orders accepted by us cannot be cancelled without our prior written approval, which may be refused at our absolute discretion.
4. Warranties & Liability

Prescribed Terms: To the extent permitted by law, our liability for a breach of any warranty or condition is limited (at our option) to:
- Replacement of the Goods.
- Payment of the cost of replacing the Goods.
- A refund of the Purchase Price.

Exclusions: All prior discussions, quotations, and external warranties are excluded to the extent permitted by law.
5. Delivery & Returns
- Estimates: Delivery times are estimates only. Delay in delivery does not entitle the Customer to cancel the order.
- Risk: Risk passes to the Customer upon delivery, or upon collection if the Customer arranges their own transport.

Carrier Selection: Crucial: Customers must select the carrier service applicable to their location.
- Sole traders/Small businesses at residential addresses MUST choose a residential service.
- Commercial addresses MUST choose a commercial service.
- Incorrect selection will result in additional fees.
- Returns: No returns are accepted without prior written agreement. Returns may incur a restocking fee of up to 25%.
6. Price and Payment
- Price Changes: All prices are subject to change without notice.
- Payment Terms: All payments are due within 14 days of the statement date, unless otherwise specified on the invoice.
- Pre-payment: Customers on pre-payment terms must pay within three (3) days of invoice issue or the order may be cancelled.
- Default & Interest: If in default, we may withhold further deliveries. Interest on overdue accounts may be charged at 10% per month for purchases made after 10/1/2026.
7. Credits and Claims
- Receipt of Goods: Customers must verify the number of cartons upon delivery. A signed receipt is deemed acceptance of the correct quantity.
- Shortages/Damage: Claims for short delivery, damage, or breakage must be lodged in writing within 5 days of delivery.
- Condition of Returns: Goods will not be accepted for credit if they are damaged, price-marked, or defaced by the Customer.
8. Retention of Title
- Ownership: Title of Goods remains with DEAZA Enterprises Pty Ltd until the Purchase Price and all other sums due are paid in full.
- Default: We may enter the Customer's premises without notice to recover Goods if payment is not made, if the business ceases to trade, or if the Customer becomes insolvent.
9. Goods and Services Tax (GST)

GST will be shown separately on the tax invoice. The Customer agrees to pay and indemnify DEAZA Enterprises Pty Ltd for all GST associated with the supply of Goods.
10. Fixtures
- Ownership: Any Fixtures provided remain the property of DEAZA Enterprises Pty Ltd.
- Exclusivity: Only DEAZA Enterprises Pty Ltd Goods may be displayed in these Fixtures. Displaying third-party goods is a breach of terms.
- Recovery: We reserve the right to enter premises to recover Fixtures if the business is sold, closed, or if these terms are breached.
11. General Provisions
- Governing Law: These terms are governed by the laws of New South Wales and the Commonwealth of Australia.
- Severability: If any part of these terms is found to be void or unenforceable, that part shall be severed without affecting the remainder.
